CORPORATE LOYALTY SCHEME
TERMS AND CONDITIONS

1 Interpretation

1.1 In these terms and conditions ("the Terms"), the following expressions shall have the following meanings:-

1.1.1 "Benefits" means rewards, benefits or offers provided by the Club itself or which may be provided by Third Party Sponsors from time to time and a “Benefit” shall be any of them;

1.1.2 "Bronze Member" means a Member who has signed Seasonal Contracts with the Club for at least two consecutive Football Seasons;

1.1.3 "Club" means the Southampton Football Club Limited a company registered in England with company number 00053301 having its registered office address at St Mary’s Stadium, Britannia Road, Southampton, Hampshire, SO14 5FP;

1.1.4 "Football Season" means each association football league season beginning with the first league Match in (or around) August and ending with the last league Match played in (or around) May;

1.1.5 "Gold Member" means a Member who has signed Seasonal Contracts with the Club for at least six consecutive Football Seasons;

1.1.6 "Match" means an association football league match;

1.1.7 "Match Day" means any day on which the Club plays a Match at the Stadium;

1.1.8 "Match Day Programme" means programmes produced by the Club for each Match Day during a Football Season;

1.1.9 "Member" means any client of the Club who, by virtue of its having signed Seasonal Contracts with the Club for two or more consecutive Football Seasons, qualifies for membership of the Scheme and shall include a Gold Member, a Silver Member and a Bronze Member and "Membership" shall be construed accordingly;

1.1.10 "Scheme" means the Club’s corporate loyalty scheme whereby Members are offered Benefits by the Club in recognition of their loyalty and support to the Club;

1.1.11 "Seasonal Contract" means a contract entered into between the Club and one of its clients under the terms of which the Club provides certain corporate hospitality services to that client;

1.1.12 "Silver Member" means a Member who has signed Seasonal Contracts with the Club for at least four consecutive Football Seasons;

1.1.13 "Stadium" means St Mary’s Stadium, Britannia Road, Southampton; and

1.1.14 "Third Party Sponsor" means any third party sponsor who may from time to time provide a Benefit to Members.

1.2 Expressions importing the masculine gender shall include the feminine and neuter and those importing the singular number shall include the plural and vice versa.

1.3 The headings in these Terms are inserted for convenience only and shall not affect the construction or interpretation of the Terms.

2 Application of these Terms

2.1 These Terms constitute the entire agreement and understanding between the Club and its Members in so far as they relate to the Scheme.

2.2 For the avoidance of doubt, these Terms do not form any part of a Member’s Seasonal Contract with the Club to which separate terms and conditions apply.

2.3 The Club shall be entitled to amend or vary the Scheme, the available Benefits or these Terms at its sole discretion and at any time, with or without notice.

2.4 In the event of any conflict or inconsistency between these Terms and any communication, including without limitation, advertising, marketing or promotional material, the provisions of these Terms shall prevail.

3 Membership of the Scheme

3.1 The Scheme is open to all clients of the Club who fulfil the requirements of Membership.

3.2 Clients of the Club need not make any application for Membership, which is given by the Club automatically and free of charge to clients who qualify for Membership.

4 Third Party Sponsors

4.1 The Club may from time to time approach Third Party Sponsors for the provision of Benefits by such Third Party Sponsors to Members.

4.2 The provision of any Benefits by a Third Party Sponsor shall be made by such Third Party Sponsor in accordance with its own terms and conditions. Details of available Benefits and of such terms and conditions can be obtained by Members from:-

4.2.2 the Club‘s website (http://www.saintsfc.co.uk).

4.3 The Club is a facilitator of the provision by Third Party Sponsors of Benefits, and is not itself the provider of those Benefits, and accordingly the Club shall have no responsibility or liability to Members for any loss suffered or expenses incurred by them arising out of their use or attempted use, or the unavailability for their use, of Benefits provided by any Third Party Sponsors.

5 Bronze Members

A Bronze Member shall be entitled, in each Football Season during the continuance of its Membership, to:-

5.1 recognition as a Bronze Member on the Club´s website and in certain Match Day Programmes as from time to time selected by the Club;

5.2 make any bookings for conference or banqueting facilities at the Stadium at a discounted rate of 15% in respect of charges relating to room hire only;

5.3 preferential access to the Annual Player´s Dinner at the Stadium and to a discount of 10% on ticket prices for that Dinner; and

5.4 access to one networking event at the Stadium as from time to time arranged by the Club.

6 Silver Members

A Silver Member shall be entitled, in each Football Season during the continuance of its Membership, to:-

6.1 recognition as a Silver Member on the Club´s website and in certain Match Day Programmes as from time to time selected by the Club;

6.2 make any bookings for conference or banqueting facilities at the Stadium at a discounted rate of 15% in respect of charges relating to room hire only;

6.3 preferential access to the Annual Player´s Dinner at the Stadium and to a discount of 10% on ticket prices for that Dinner;

6.4 access to one networking event at the Stadium as from time to time arranged by the Club;

6.5 purchase any merchandise at the Stadium Megastore on a Match Day at a discounted rate of 25% provided that this particular benefit shall not be used in conjunction with any other offer or for the purchase of gift vouchers; and

6.6 purchase any additional tickets or places in a hospitality suite at the Stadium at a discounted rate of 10% PROVIDED THAT this particular benefit shall not be used in relation to any and all Cup games.

7 Gold Members

A Gold Member shall be entitled, in each Football Season during the continuance of its Membership, to:-

7.1 recognition as a Gold Member on the Club´s website and in certain Match Day Programmes as from time to time selected by the Club;

7.2 make any bookings for conference or banqueting facilities at the Stadium at a discounted rate of 15% in respect of charges relating to room hire only;

7.3 preferential access to the Annual Player´s Dinner at the Stadium and to a discount of 10% on ticket prices for that Dinner;

7.4 access to one networking event at the Stadium as from time to time arranged by the Club;

7.5 purchase any merchandise at the Stadium Megastore on a Match Day at a discounted rate of 25% provided that this particular benefit shall not be used in conjunction with any other offer or for the purchase of gift vouchers; and

7.6 purchase any additional tickets or places in a hospitality suite at the Stadium at a discounted rate of 10% PROVIDED THAT this particular benefit shall not be used in relation to any and all Cup games;

7.7 a membership pin badge and a corporate gift, such gift to be given at the start of the Membership and to be chosen at the sole discretion of the Club;

7.8 a football signed by the players of the Club from time to time;

7.9 two free stand tickets for three Matches. Gold Members shall be free to chose the Matches they wish to attend;

7.10 automatic entry into the Club´s raffle, drawn during a networking event at the Stadium. Winners shall be entitled to Associated Match Ball sponsorship which may include corporate hospitality, pre-match tours and big screen and programme advertising; and

7.11 automatic entry into the Club´s raffle, drawn during a networking event at the Stadium. Each winner shall be entitled to nominate two individuals (such individual may include a Gold Member’s guest at a Match) who shall lead the teams out onto the pitch at the start of one Match during a Football Season, the selection of such Match, which shall exclude any and all Cup games, shall be agreed between the Club and its Gold Member.

8 LIMITATIONS

8.1 The Club does not give any warranty, guarantee or other term as to the quality, availability or continuance of any Benefits made available to Members under the Scheme.

8.2 The Club excludes all liability to Members for any delay in the provision of any Benefit under the Scheme or for any non-availability of Benefits.

8.3 Nothing in these Terms shall limit the Club’s liability in respect of death or personal injury caused by its negligence or for fraudulent misrepresentation.

9 Termination

9.1 The Club reserves the right to terminate the Scheme at its sole discretion at any time, with or without notice.

9.2 Any Member which has terminated its Seasonal Contract with the Club shall be deemed to have terminated its Membership at the same time.

10 General

10.1 If any provision of these Terms is held by any Court or other competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and the remainder of the provision in question shall not be affected.

10.2 These Terms shall be governed by and interpreted in accordance with English Law.
